Interpretation
- In these terms and conditions:
- "Company": Refers to Enlargenet, operating under the brand name "Trainingy."
- "Client": Means the individual, business, or organisation engaging with the Company for services.
- "Delegate": Refers to any individual or group nominated by the Client to participate in a service provided by the Company.
- "Services": Encompasses corporate training, spiritual retreats, team building, training for students and professionals, individual short trainings, webinars, workshops, seminars, indoor and off-site trainings, and any other offerings provided by the Company.
- "Trainer": Refers to the professional appointed by the Company to deliver the Services.
- "Venue": Means the location, whether online or physical, where the Services are provided.
- "Force Majeure": Refers to unforeseen events beyond the control of either party, including natural disasters, strikes, acts of war, pandemics, government actions, and similar events that render performance impracticable.
Application of Terms
- These terms govern all contracts for Services between the Company and the Client unless otherwise agreed upon in writing.
- By engaging the Company, the Client acknowledges acceptance of these terms and conditions.
Provision of Services
- The Company agrees to provide the Services with reasonable care, skill, and diligence.
- The Company retains the right to make minor modifications to the content or format of the Services to ensure quality or accommodate logistical requirements.
- The Client is responsible for ensuring all Delegates are notified of the relevant details, including the Venue, time, and any preparatory requirements.
Fees and Payment Terms
- All fees are payable in full at least 14 days before the start of the Service unless otherwise agreed.
- Late payments may result in the Client’s booking being cancelled at the Company’s discretion.
- The fees include materials, resources, and facilities where applicable. Additional costs (e.g., travel, accommodation, or special materials) will be outlined in the Client’s proposal.
- Payments are subject to applicable taxes, including GST, as per Indian law.
Cancellations and Refunds
- The Client may cancel their engagement with the following refund policy:
- 28 days or more prior to the Service date: 75% refund.
- 14 to 27 days prior to the Service date: 50% refund.
- Less than 14 days prior to the Service date: No refund.
- The Company reserves the right to cancel or reschedule Services due to unforeseen circumstances. In such cases, Clients will be offered alternative dates or a full refund.
Delegates and Substitutions
- The Client may substitute Delegates up to 48 hours before the Service.
- The Company reserves the right to remove Delegates who exhibit disruptive behavior or fail to comply with the rules of conduct.
Intellectual Property
- All materials, resources, and intellectual property provided during the Services remain the exclusive property of the Company.
- The Client may use the materials solely for personal or internal purposes and must not reproduce, distribute, or share them externally without prior written consent from the Company.
Venues and Online Platforms
- The Company reserves the right to change the Venue or platform for the Service if necessary and will inform the Client promptly.
- The Client must ensure Delegates have access to suitable technology for online trainings, including a stable internet connection, where applicable.
Force Majeure
- Neither the Company nor the Client shall be held liable for any delay or failure to perform obligations due to Force Majeure events.
- In such cases, both parties shall work collaboratively to reschedule or adapt the affected Services.
Confidentiality
- Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement.
- Delegates and Clients must not disclose or misuse confidential content or materials provided during the Services.
Limitation of Liability
- The Company’s liability for any claims arising from the provision of Services shall not exceed the fees paid by the Client.
- The Company shall not be held responsible for indirect, incidental, or consequential damages.
- Delegates participate in physical or outdoor activities at their own risk, and the Company disclaims liability for injuries resulting from negligence or non-compliance with safety instructions.
Termination
- The Company reserves the right to terminate Services if:
- The Client fails to make payments as agreed.
- Delegates violate the terms of participation.
- The Client breaches confidentiality or intellectual property clauses.
Notices
- Notices under this agreement must be in writing and sent to the official addresses provided by the parties.
Governing Law
- These terms and conditions are governed by the laws of India, and any disputes shall be subject to the jurisdiction of the courts in Gurgaon, Haryana.
